These Terms of Engagement define the standard operating, delivery, intellectual property, and contractual terms under which Aavenza Technologies Pvt. Ltd. delivers custom software, AI platforms, digital transformation, and enterprise digitization solutions.
100% Client IP
Bespoke software and data are assigned 100% to the client upon milestone payment.
Milestone Acceptance
Deliverables undergo structured User Acceptance Testing (UAT) before sign-off.
Mutual NDA Protection
All proprietary business logic and client architectures remain strictly confidential.
30-Day Warranty
Every production delivery includes a 30-day comprehensive bug-fix guarantee.
01. Engagement Structure & Hierarchy
Unless superseded by a formal bilateral Master Services Agreement (MSA) or Government Work Order, each project engagement between Aavenza Technologies Pvt. Ltd. (“Aavenza”) and the ordering organization (“Client”) is governed by:
- These Master Terms of Engagement;
- A project-specific Statement of Work (SOW), Proposal, or Purchase Order defining deliverables, milestones, pricing, and timelines;
- Mutual Non-Disclosure Agreement (NDA) and Data Processing Addendum (DPA) where applicable.
02. Delivery & Engagement Models
We offer 4 distinct engagement models to align with institutional procurement requirements:
A. Fixed-Price Milestone Delivery
Ideal for well-defined software builds, mobile apps, and digitization pipelines. SOW establishes fixed milestones, clear acceptance criteria, and predefined commercial payouts.
B. Dedicated Engineering Pods
Full-stack engineers, AI architects, QA leads, and UI designers working as an agile extension of the client's internal team under monthly sprint governance.
C. Time & Materials (T&M)
Suitable for discovery phases, exploratory R&D, rapid prototyping, and complex legacy refactoring where scope evolves iteratively.
D. Government & Tender Consortiums
Formal partnerships for GeM, State, and Central Government e-Tenders adhering to CVC guidelines, GFR rules, and public procurement norms.
03. Intellectual Property Rights & Ownership
Bespoke Work-for-Hire: Upon full and final settlement of agreed fees for a deliverable, Aavenza assigns all worldwide copyright, title, and ownership of custom source code, documentation, and digital assets developed exclusively for the Client.
Pre-Existing Frameworks & Accelerators: Aavenza retains ownership of its proprietary pre-existing libraries, algorithmic accelerators, and boilerplate frameworks. The Client is granted a perpetual, worldwide, irrevocable, royalty-free license to use, modify, and run such components as embedded within the delivered solution.
Client Data: The Client retains 100% unconditional ownership over all data, physical files, images, database schemas, and intellectual property supplied to Aavenza.
04. User Acceptance Testing (UAT) & Warranty
Each milestone delivery will be deployed to a dedicated staging environment for formal User Acceptance Testing (UAT):
- The Client has a standard review window (typically 10 business days) to verify deliverables against the agreed SOW specifications.
- Any non-conformances or critical bugs reported during this window will be remediated at Aavenza’s sole cost before sign-off.
- 30-Day Post-Launch Warranty: Following production deployment, Aavenza provides 30 consecutive calendar days of complimentary defect remediation for any bugs discovered within the original contracted scope.
05. Confidentiality & Non-Disclosure
Both parties agree to treat all business information, technical architectures, pricing, source code, and project files as strictly confidential. This obligation of confidentiality survives for a period of five (5) years following the conclusion of the engagement.
06. Invoicing, Taxes & Payment Terms
- All commercial invoices are issued with applicable Goods & Services Tax (GST) in India or local sales taxes as mandated by law.
- Standard payment terms are Net-15 or Net-30 days from invoice date as stipulated in the SOW.
- For fixed-price deliverables, project initiation requires mobilization advance as agreed in the commercial schedule.
07. Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, or consequential damages (including loss of profits or business interruption). Aavenza's aggregate commercial liability arising out of any engagement shall not exceed the total fees paid by the Client under the specific SOW giving rise to the claim.
08. Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of the Republic of India. The courts located in Kolkata, West Bengal shall have exclusive jurisdiction over any legal proceedings.
